I'd say NP. I'd go a year older to 330i with the DISA intake, freer flowing exhaust, and ZF6 for automatic or a couple newer to facelift car, though. Plenty of good deals to be found on these cars.

NP, but if it's for you I think you could find a version that's a bit more fun to drive than this for around the same price/condition combo. The 328 is a highly competent car, but it's not exactly thrilling (at least if you're not pushing it to the limit).

Maint history would be a make/break deal for me.
I think for similar money a 6spd car would be an option. As JayZ points out, the post facelift car is more attractive and the 2006 330i (E90) is a better performing car. There are people who apparently put the 330i intake/DISA setup on their 328s and with a tune achieve similar or better power - perhaps an option for you if you desire better performance.
